Terms of Service

These Terms of Service govern the provision of professional business and consulting services by KS Bajwa Pty Ltd (ABN 85 703 567 837) of Melbourne VIC, Australia. By engaging our services, requesting a quote or using this website, you agree to these Terms. Last updated: July 2025.

1. About These Terms

KS Bajwa Pty Ltd (referred to in these Terms as “we”, “us” or “our”) provides professional business and consulting services to clients across Australia. These Terms, together with any written proposal, engagement letter or statement of work we issue, form the agreement between you and us in relation to the services we provide.

If there is any inconsistency between these Terms and a signed engagement letter or proposal, the signed document will prevail to the extent of the inconsistency.

2. Our Services

We provide professional business and consulting services, which may include business advisory, strategic planning, operational reviews, process improvement, compliance support and related consultancy work. The specific scope, deliverables, timelines and fees for each engagement will be set out in the relevant proposal, quote or engagement letter provided to you before work commences.

Any general information published on this website is provided for informational purposes only and does not constitute financial, legal, taxation or other professional advice tailored to your circumstances.

4. Fees, Invoicing and Payment

5. Your Obligations

To enable us to provide the services effectively, you agree to:

Delays caused by a failure to meet these obligations may affect timelines and, where applicable, fees.

6. Intellectual Property

All pre-existing materials, methodologies, templates and tools that we bring to an engagement remain our property or the property of our licensors. Upon full payment of our fees, you are granted a perpetual, non-exclusive licence to use the deliverables we prepare specifically for you for your internal business purposes.

Materials and content you provide to us remain your property. You grant us a limited licence to use those materials solely for the purpose of providing the services.

7. Confidentiality

Each party will keep confidential all non-public information obtained from the other party in connection with an engagement and will not disclose it to any third party except where required by law, or where the information is publicly available through no breach of these Terms, or with the other party’s prior written consent. This obligation survives the completion or termination of an engagement.

8. Limitation of Liability

To the fullest extent permitted by law, our liability arising out of or in connection with the services is limited, at our option, to resupplying the relevant services or paying the cost of having the services resupplied.

We are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, data or business opportunity, arising from the services, except where such liability cannot be excluded by law.

9. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified. Where the Australian Consumer Law applies and permits limitation of liability, our liability is limited as set out in section 8 above.

10. Termination

Either party may terminate an engagement by giving at least 14 days’ written notice to the other party. We may terminate an engagement immediately by written notice if you fail to pay an invoice by its due date, breach these Terms and do not remedy the breach within a reasonable time, or if continuing the engagement would place us in breach of the law or professional obligations.

On termination, you must pay all fees and disbursements for work performed up to the date of termination, and we will return any property or records belonging to you that are in our possession, subject to our record-keeping obligations.

11. Force Majeure

We are not liable for any delay or failure to perform our obligations where that delay or failure is caused by events beyond our reasonable control, including natural disasters, strikes, telecommunications or internet outages, or changes in law.

12. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Our Privacy Policy forms part of these Terms.
